Terms and Conditions

PLEASE READ THE FOLLOWING TERMS AND CONDITIONS OF USE CAREFULLY BEFORE USING OUR WEBSITE. All users of this website agree that access to and the use of this site are subject to the following terms and conditions and other applicable laws. If you do not agree to these terms and conditions, please do not use our website.

The content in this site, including text, graphics and/ or code is copyrighted as a collective work under the United States and other copyright laws, and is the property of Shop Tools Outlet. Permission is granted to electronically copy and print hard copy portions of this site for the sole purpose of placing an order with Shop Tools Outlet, or purchasing our products. You may display, download or print portions of the material from the site solely for your own non-commercial use, or to place an order with us, or to purchase our products.

Any other use, including but not limited to the reproduction, distribution, display or transmission of the content of this site is strictly prohibited, unless authorized by Shop Tools Outlet. You also agree to not change or delete any proprietary notices from materials downloaded from the site.

Trademarks

All trademarks, service marks and trade names of Shop Tools Outlet used in the site are trademarks or registered trademarks of Shop Tools Outlet.

Free Shipping Terms and Conditions

Free Shipping applies to the contiguous United States with these exceptions:

  • Certain difficult to deliver areas like inner city, remote locations, and other areas which generate freight costs significantly higher than most.
  • Combined purchases of both Free Shipping and Non-Free Shipping Items.
  • Accessories added to a Free Shipping Item will require a freight surcharge collected prior to shipment.
  • Residential Addresses Unless Specified on the Product Page
  • Lift Gate Service is an additional charge unless Specified on the Product Page

Shipping Terms and Conditions

Parcel Shipping

UPS, USPS and FedEx Ground deliveries do not require a signature at the time of delivery and will be left at the location if no person is present, unless otherwise requested.

Truck Shipping (Less than Truck Load, Full Truck Load)

For LTL or FTL Truck Freight: A PRO (tracking #) will be provided once the item has shipped.  Freight carriers have the right to change the PRO after an item leaves our dock.

  • Most freight shipped items require a commercial delivery address unless specifically noted on the product page.
  • Customer Must Have Adequate Equipment such as Forklift, Skid Loader, Tractor, or other equipment which has forks and capacity to lift and remove purchased equipment from the delivery truck.
  • LTL/FTL Truck freight requires a signature at the time of delivery.
    • Only the Consignee on the Bill of Lading should sign for freight unless otherwise noted to us.
  • Lift gate services are available for some items.
  • For large freight to customers without a commercial address or ability to unload:
    • We can ship to a nearby freight terminal where you can pick the item up with an approved trailer or truck.
    • A government issued picture identification which matches the consignee on the Bill of Lading is required to pick up freight.

Any delivery address changes different from the Packing List after shipment, will incur an additional fee determined by the carrier and is the responsibility of the customer.

Any missed appointments may result in a re-schedule fee by the carrier and are the responsibility of the customer.

Non-Received Freight:

After repeated attempts to deliver freight, the products may incur a storage fee per the freight carrier's terms. Any fees are the customer's responsibility. If the freight is returned to Shop Tools Outlet due to the carrier's inability to deliver, all additional freight costs are the customer's responsibility.

Warehouse Customer Pick Ups:

Some items allow for Customer Pick Up at the Warehouse.  Inventory fluctuates and is not always available at the desired warehouse.  Please call us at 888-288-6657 to discuss what might be available nearest you.  Some items require a warehouse load fee which will be collected by Shop Tools Outlet at the time of purchase.  Any local warehouse Pick Ups require a government issued photo identification that matches the customer's name on the order and/or packing list.

Delivery Timing

Shop Tools Outlet does NOT reimburse for lost equipment or location rental fees.

Shop Tools Outlet does NOT reimburse for missed delivery appointments.

For guaranteed shipping contact our customer service at 888-288-6657. Guaranteed or Expedited delivery is an option based on a product's stock status, freight carrier ability, and timing.  Keep in mind natural delays may still occur beyond our controls such as weather, disaster, or personal events.  We do not compensate for such delays, but will make every effort to have your products delivered based on your expectations and schedule.

Commercial deliveries with a staffed loading dock do not require a delivery appointment unless noted by the customer or required by the carrier.  Hours and Days of operation should be noted on the BOL to avoid any carrier fees for re-delivery.

For business deliveries that require an appointment; it is the sole responsibility of the customer to contact the carrier and arrange a delivery appointment.

UPS, USPS and FedEx Ground deliveries do not require a signature at the time of delivery and will be left at the location unless delivery signature required is noted on the order.

Credit Card Payments

A 3% Processing Fee will be invoiced separately for any credit card transaction over $1,000.00
Due to extensive fraud, some payments may require additional documentation such as a photo ID to process the order.

Canceled Orders

For orders canceled prior to shipment; payment collected less any merchant fees will be refunded within 30 days.

Notice of canceled orders must be made in writing (email or text message) to Shop Tools Outlet 8 hours M-F prior to shipment so that we can pull the item(s) from the dock and cancel the freight pickup.

Customized items are not eligible for cancellation unless agreed to by Shop Tools Outlet.

Product Warranty / Warranty Disclaimer

Every product sold by Shop Tools Outlet is new.  Any warranty is provided by the Manufacturer, not Shop Tools Outlet, unless specifically noted.

The product warranty may differ per item and manufacturer.

We will act as the consumer's agent to remediate any defective product with the manufacturer per the manufacturer's warranty. Please note our policy on Disputed Payments and how any such Disputed Payment changes our responsibilities to the customer.

It is the sole discretion of Shop Tools Outlet to go above and beyond the manufacturer's warranty to resolve any product issue or defect.

PLEASE NOTE: No manufacturer’s warranty covers any product or part which has been subject to misuse, modification, negligence or accident, nor does it cover any product which is used for any purpose other than what it is intended for as stated in the manufacturer’s product information.

Returned Goods

How to Return items for Exchange, Refund, or Credit:

At Shop Tools Outlet, we want you to feel confident buying from us. We simply request that you follow these requirements or procedures.

  1. The returned merchandise must be new, complete and in the original packaging.
  2. You will be charged the total cost of shipping the item to you and the cost of shipping the item back to Shop Tools Outlet.  Note: Free shipping items are not exempt from the return shipping costs. Return shipping is the consumer’s responsibility.
  3. A restocking charge will be based on 20% of the purchased product price on all returned items.
  4. The return must be made within 30 days of the invoice date.
  5. Please include a copy of your original invoice with your return.
  6. Please indicate if you would like an exchange or refund.
  7. Securely pack the product and send it with the shipping and insurance charges prepaid to the shipping location determined by Shop Tools Outlet.

A refund will be issued to the customer based upon inspection of your return.

Freight Ownership and Damages

The process of shipping an item or items involves the transfer of ownership multiple times.  The products we sell are new and in new condition prior to shipment.  We do not sell used items, refurbished items, or knowingly damaged items. Freight shipments include a Bill of Lading (BOL) that transfers ownership from Shop Tools Outlet to the Freight Carrier. (ie: SAIA, R&L Carriers, Old Dominion Freight, UPS, etc) Once the Freight Carrier has accepted your purchased product from our warehouse, we have fulfilled our obligation. Any and all issues following, are subject to terms regarding Freight Damage, Manufacturer's Warranty, and Returned Goods. A signed BOL from the carrier acts as proof of our fulfillment.

While in transit the Freight Carrier has possession and ownership of the product(s) listed on the BOL. When the Freight Carrier delivers the product(s), ownership is transferred to you, the Customer.

LTL/Truck Freight requires a signature at delivery.  Prior to signing the BOL, the Customer is required to review the freight.  Any damages or missing items should be noted on the BOL and discussed with the delivery driver.  Photos of damages are required. It is the customer's responsibility to either accept the freight as delivered or reject the freight.

Accepting freight with damages or missing items

If you choose to accept the freight with damages or discover 'Concealed' damages, you should contact Shop Tools Outlet immediately or no later than 7 days of receipt.  We will review the damages with you and take pro-active action to resolve any and all issues to the best of our ability. This includes but is not limited to:

  • Filing a freight damage claim with the carrier
  • Contacting the manufacturer to secure replacement parts or products
  • Re-imbursing the customer for repairs or limited product performance due to freight damages
  • Scheduling a return of product to our preferred warehouse

Rejected Freight

If you choose to reject the freight, the product(s) will be returned to the carrier's terminal. The freight carrier will notify Shop Tools Outlet the freight was rejected and we will determine where the product(s) are returned.  We will inspect the returned product(s). If no damages are identified, the returned freight and any refund will fall under our Terms of Returned Goods. If damages are identified, we will refund your purchase in full within 5 days and pursue re-imbursement with the freight carrier based on their terms of service.

Disputed Payments

Disputing a payment should be the last course of action and ends our ability to resolve any disagreements. A dispute includes but is not limited to; Credit Card Disputes, Check Stop Payments, Legal Action.

Once a disputed payment has been made, the purchase falls under our Terms for Returns.  It is the customer's responsibility to return the product per our Return Terms within 5 days of disputing the payment.  If the product(s) has not been processed for return shipment (a freight pickup scheduled) the customer agrees to terminate the dispute and return any and all payments withdrawn back to Shop Tools Outlet immediately.  Shop Tools Outlet has the right to collect payment via customer's credit card, customer check, customer cash, or civil litigation.  Any fees associated with a disputed payment are the customer's responsibility.

Please note: It is in the best interest of both the customer and Shop Tools Outlet to resolve any known issues, concerns, damages, or other prior to disputing a payment. We ALWAYS strive to deliver a product as described and in new working condition. We want you to be happy with both our service and the product. Unfortunately, once payment has been disputed resolving any known issues is no longer within our control.

Limitation of Liability

Shop Tools Outlet shall not be liable for any damages that result from the use of, or the inability to use, the materials on this site or the performance of the products, even if have been advised of the possibility of such damages.

Typographical / Image Errors

In the event that Shop Tools Outlet has listed a product at an incorrect price or shown available inventory of a product that is not available; we reserve the right to refuse or cancel any order placed at that incorrect price or an unavailable product.  In this situation, all funds collected will be refunded to the customer.

We reserve the right to refuse or cancel any order for any reason.

Terms & Termination

These terms and conditions are applicable to you upon your assessing the site and/or completing the registration or shopping process. These terms and conditions, or any part of them, may be terminated or modified by Shop Tools Outlet without notice at any time, for any reason.  Provisions which will not be terminated at any time are those relating to Copyrights, Trademark, Disclaimer, Limitation of Liability, Indemnification and Miscellaneous.

Notice

Shop Tools Outlet may deliver notice to you by means of e-mail, a general notice on the site, or by another reliable method to the address you provided us.

Miscellaneous

Your use of the site will be governed in all respects by the laws of the state of Iowa, U.S.A., without regard to the choice of law provisions, and not by the 1980 U.N. Convention on contracts for the international sale of goods. You agree that jurisdiction over the venue in any legal proceeding directly or indirectly arising or relating to this site (including but not limited to the purchase of Shop Tools Outlet products) shall be in the state or federal courts located in Polk County, Iowa. Any cause of action or claim you may have with respects to the site (including, but not limited to the purchase of our products) must be commenced within one (1) year after the claim or cause of action arises. Shall the failure to insist upon or enforce strict performance of any provision of these terms and conditions by Shop Tools Outlet shall not be construed as a waiver or any right. Neither the course of conduct between the parties or trade practice shall act to modify any of these terms and conditions. Shop tools Outlet may choose to assign its rights and duties under this Agreement to any party at any time without notice to you.

Use of the Site

Harassment in any manner or form on the site, including but not limited to e-mail, chat, form submission, or by use of an obscene or abusive language, is strictly forbidden. Impersonation of others, including a Shop Tools Outlet employee, host or representative, as well as other members or visitors on the site is prohibited.

You are not authorized to upload to, distribute, or otherwise publish through the site any content which is libelous, defamatory, obscene, threatening, invasive of privacy or publicity rights, abusive, illegal, or otherwise objectionable which may constitute or encourage a criminal offense, violate the rights of any party or which may otherwise give rise to liability or violate any law. You may not upload commercial content on the site or use the site to solicit others to join or become members of any other commercial online service or organization.  Any actions considered Spam, Brute Force Attack, or other damaging actions will be pursued for prosecution by Shop Tools Outlet and are subject to a fine of $1,000,000.00 per occurrence.  Any foreign government which does not cooperate in pursuing such prosecution is also subject to fine in the court of International Law.

Participation Disclaimer

Shop Tools Outlet does not and cannot review all communications and materials posted to or created by users accessing the site. We are not in any manner responsible for the content of these communications and materials. You acknowledge, that by providing you with the ability to view and distribute user-generated content on the site, we are merely acting as a passive conduit for such distribution and is not undertaking any obligation or liability relating to any contents or activities on the site. However, Shop Tools Outlet reserves the right to block or remove communications or materials that determines to be (a) abusive, defamatory, or obscene, (b) fraudulent, deceptive, or misleading, (c) in violation of a copyright, trademark or; other intellectual property right of another or (d) offensive or otherwise unacceptable to our sole discretion.

Indemnification

You agree to indemnify, defend, and hold harmless Shop Tools Outlet, its officers, directors, employees, agents, licensors and suppliers (collectively the “Service Providers”) from and against all losses, expenses, damages and costs, including reasonable attorney’s fees , resulting from any violation of these terms and conditions or any activity related to your account (including negligent or wrongful conduct) by you or any other person accessing the site using you Internet account.

Third- Party Links

In an attempt to provide increased value to our visitors, Shop Tools Outlet may link to sites operated by third parties. However, even if the third party is affiliated with us, Shop Tools Outlet has no control over these linked sites, all of which have separate privacy and data collection practices, independent of ours. These linked sites are only for your convenience and therefore you access them at your own risk. Nonetheless, Shop Tools Outlet seeks to protect the integrity of its web site and the links placed upon it and therefore requests any feedback on not only its own site, but for sites it links to as well (including if the specific link doesn’t work).
